NO GUARANTEE OF COVERAGE, RATES, OR APPROVAL

QUOTE-INTAKE FORMS AND INFORMATION YOU SUBMIT

You acknowledge that intentional misrepresentation on an insurance application may constitute insurance fraud and may be subject to civil and criminal penalties under federal and state law.
COMMUNICATIONS, CALLS, AND CONSENT
By providing your phone number, email address, or other contact information to Prime Harbor through any channel, you authorize Prime Harbor to contact you regarding insurance matters by:
• Phone calls, including calls placed using automated dialing technology, prerecorded messages, or artificial voice technology
• Text messages and SMS communications
• Email and electronic communications
• Voicemail drops and ringless voicemail
• Automated voice and conversational tools
• Chat widgets and messaging platforms
All phone calls with Prime Harbor may be recorded for quality assurance, training, documentation, compliance, and business purposes. By continuing a call after notice of recording, you consent to the recording.
Message and data rates may apply to text communications. Reply STOP to opt out of marketing text messages. Reply HELP for assistance.

INTELLECTUAL PROPERTY

The aggregate liability of the Prime Harbor Parties for any claim arising from or related to the Website, our services, or these Terms shall not exceed the greater of one hundred dollars ($100) or the amount of commission Prime Harbor actually received from insurance products you purchased through Prime Harbor in the twelve (12) months preceding the claim.
This limitation applies regardless of the legal theory of liability, including contract, tort, negligence, strict liability, or any other theory, even if Prime Harbor has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the foregoing limitations apply to the fullest extent permitted by law.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Prime Harbor Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
• Your access to or use of the Website or our services
• Your violation of these Terms
• Your violation of any law, regulation, or third-party right
• Your submission of false, misleading, or fraudulent information
• Your conduct in connection with any insurance application, policy, or claim
• Any content, communication, or information you submit through the Website or to Prime Harbor
Prime Harbor reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

GOVERNING LAW
These Terms and any dispute arising from or related to these Terms, the Website, or our services shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.
DISPUTE RESOLUTION AND ARBITRATION
Informal Resolution
Before filing any formal claim, you agree to first contact Prime Harbor at legal@primeharborinsurance.com and provide a detailed description of your claim.
The parties shall attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days before initiating formal proceedings.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, our services, or your relationship with Prime Harbor that is not resolved through informal negotiation shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
Arbitration shall be conducted in Orleans Parish, Louisiana, or at another mutually agreed location, or via remote or telephonic proceedings where permitted.
Class Action Waiver
You and Prime Harbor agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
Exceptions
Either party may pursue the following claims in court rather than arbitration:
• Claims for injunctive relief related to intellectual property
• Small claims court matters within that court’s jurisdiction
• Claims that applicable law prohibits from being arbitrated
Insurance Policy Disputes
Disputes regarding the issuance, terms, coverage, claims handling, or administration of any insurance policy issued by an insurance carrier are governed by the policy contract, applicable state insurance law, and the dispute resolution procedures specified in the policy or by state regulation, not by this arbitration provision.
SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable or, if modification is not possible, severed from these Terms.
The remaining provisions shall continue in full force and effect.
ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, SMS Terms, Cookie Policy, Accessibility Statement, and any other policies referenced on the Website or expressly incorporated, constitute the entire agreement between you and Prime Harbor regarding your use of the Website and our services.
These Terms supersede any prior or contemporaneous agreements, communications, or understandings regarding the subject matter.
These Terms do not govern any insurance policy issued by an insurance carrier. Insurance policies are governed by the policy contract and applicable law.
NO WAIVER
Prime Harbor’s failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
No waiver is effective unless made in writing and signed by an authorized Prime Harbor representative.
ASSIGNMENT
You may not assign or transfer these Terms or any rights or obligations under these Terms without Prime Harbor’s prior written consent.
Prime Harbor may assign these Terms at any time without notice.
FORCE MAJEURE
Prime Harbor shall not be liable for any delay or failure to perform under these Terms due to causes beyond its reasonable control, including:

• Natural disasters
• Hurricanes
• Floods
• Fires
• Pandemics
• Public health emergencies
• War
• Terrorism
• Civil unrest
• Government actions
• Labor disputes
• Internet or telecommunications failures
• Cyberattacks
• Carrier or service provider failures
